Acceptance of Terms

By creating an account, accessing, or using the Montreal ESK8 platform ("Service"), you agree to these Terms of Service ("Terms") on behalf of yourself or the organization you represent. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. We will make reasonable efforts to notify you of material changes via email or platform notification.

Service Description

Montreal ESK8 provides an AI-powered surveillance and threat monitoring platform ("Platform") that includes, without limitation:

• 360° perimeter radar detection and classification
• Real-time facial recognition and biometric matching
• Acoustic threat detection and spectral analysis
• Thermal infrared imaging and anomaly detection
• Motion trail analysis and behavioural prediction
• License plate recognition and CPIC integration
• Encrypted analytics dashboards and reporting

The Platform is intended for authorized security professionals, law enforcement partners, and enterprise operators. Features and availability may change at any time at our discretion.

Eligibility

You must be at least 18 years of age and legally authorized to operate surveillance systems in your jurisdiction to use the Montreal ESK8 Platform. Use of the Platform for any purpose prohibited under Canadian or provincial law is strictly forbidden.

By using the Service, you represent that you hold all necessary permits, licences, and authorizations required by applicable privacy and surveillance laws in your jurisdiction, including but not limited to PIPEDA, Quebec Law 25, and applicable provincial regulations.

Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at security@montrealesk8.com of any unauthorized use of your account.

You agree to:

• Provide accurate, complete, and current registration information
• Maintain the security of your password and account access
• Not share your account credentials with any third party
• Not create accounts using false identities or for unauthorized purposes
• Promptly notify us of any breach or suspected breach of account security

Montreal ESK8 will not be liable for any loss or damage arising from your failure to comply with these security obligations.

Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not use the Platform to:

• Conduct surveillance of individuals without their knowledge where prohibited by law
• Collect, store, or process biometric data without appropriate legal basis and consent
• Violate any individual's right to privacy under PIPEDA or other applicable legislation
• Attempt to gain unauthorized access to any system, network, or data
• Reverse engineer, decompile, or disassemble any part of the Platform
• Sell, resell, or sublicence access to the Platform without written authorization
• Use the Platform for any discriminatory purpose prohibited under the Canadian Human Rights Act
• Transmit viruses, malware, or any other harmful code
• Use the Service in a manner that could damage, disable, or impair the Platform

Intellectual Property

The Platform, including its source code, design, algorithms, models, and all content, is the exclusive property of Montreal ESK8 and is protected by Canadian and international intellectual property laws.

You retain ownership of data you upload to the Platform. By uploading data, you grant Montreal ESK8 a limited, non-exclusive licence to process that data solely for the purpose of providing the Service.

Montreal ESK8's name, logo, and all related marks are trademarks of Montreal ESK8 You may not use these marks without prior written consent.

Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in our Privacy Policy.

You are solely responsible for ensuring that your use of the Platform complies with all applicable privacy laws, including obtaining any required consent from individuals whose data is processed through the Platform.

Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Montreal ESK8 does not warrant that: (a) the Platform will be uninterrupted or error-free; (b) any defects will be corrected; (c) the Platform is free of viruses or other harmful components; or (d) results obtained through the Platform will be accurate or reliable.

AI detection systems have inherent accuracy limitations. Montreal ESK8 does not guarantee 100% accuracy in threat detection, facial recognition, or any other Platform functionality. Critical security decisions should not be made solely on the basis of Platform outputs.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Montreal ESK8 AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.

In no event shall Montreal ESK8's total liability to you for all claims arising out of or relating to the Service exceed the greater of: (a) the fees paid by you to Montreal ESK8 in the twelve (12) months preceding the claim, or (b) CAD $100.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Montreal ESK8 and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including legal fees) arising from:

• Your use of and access to the Platform
• Your violation of these Terms
• Your violation of any third party's rights, including privacy rights
• Your violation of any applicable law or regulation
• Any content uploaded to the Platform by you

Termination

Montreal ESK8 may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive, including intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability.

You may terminate your account at any time through the account settings page. Data retention after termination is governed by our Privacy Policy.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be submitted to mediation administered by the ADR Institute of Canada. If mediation is unsuccessful, disputes shall be resolved by binding arbitration in Toronto, Ontario, Canada.
